1. Who you are contracting with
BudgetIQ is operated by OSP Consulting Inc ("OSP Consulting Inc", "we", "us", "our"), the legal entity providing the BudgetIQ service (the "Service"). References in these Terms to "BudgetIQ" mean the Service; the contracting party is OSP Consulting Inc.
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Service.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter binding contracts. By using the Service you represent and warrant that you meet these requirements.
4. The Service
BudgetIQ is a personal budgeting SaaS application providing manual entry, statement imports (CSV, Excel, PDF, receipt images), automated categorisation, reporting, and AI-generated insights. The Service is provided on an "as is" and "as available" basis.
5. Free Trial
New users receive a two (2) month free trial commencing at account creation. No payment method is required to start the trial. Access to paid features ends automatically at the end of the trial unless the annual plan is activated.
6. Merchant of Record — Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to orders and handles returns. You can manage your subscription, update your payment method, download invoices, or request a refund at any time via paddle.net.
7. Fees, Subscription and Billing
The Service is offered on an annual subscription. Current pricing is shown at checkout in your local currency. Payment, billing, taxes, currency conversion, invoicing, cancellation and renewal mechanics are handled by Paddle as Merchant of Record and are governed by Paddle's Checkout / Buyer Terms, in addition to these Terms. We may change pricing prospectively; any subscription period you have already paid for is not affected.
8. Refunds
Refunds are handled by Paddle in accordance with our Refund Policy and Paddle's Refund Policy. To request a refund, visit paddle.net or contact us and we will assist.
9. User Accounts and Security
You are responsible for safeguarding your credentials and for all activity under your account. You must notify us immediately of any unauthorised access. We are not liable for losses caused by unauthorised use of your account arising from your failure to keep credentials secure.
10. Acceptable Use
You agree not to (a) reverse engineer, decompile, or scrape the Service; (b) upload malicious code; (c) use the Service to infringe intellectual property or applicable law; (d) attempt to gain unauthorised access to other accounts or systems; (e) resell or sublicense the Service without written permission.
11. Your Data
You retain ownership of all financial data you upload. You grant OSP Consulting Inc a limited licence to process that data solely to operate the Service, including using AI models to categorise transactions and generate insights. You are responsible for the accuracy and legality of the data you upload.
12. AI-Generated Content
Insights, forecasts, and categorisations produced by AI are provided for informational purposes only and are not financial, tax, investment or legal advice. You are solely responsible for decisions made based on such output.
13. Third-Party Services
The Service integrates with third-party providers (authentication, AI inference, hosting, and payment processing via Paddle). Your use of those integrations is subject to the applicable third-party terms in addition to these Terms.
14. Intellectual Property
All rights, title and interest in the Service, including software, design, trademarks and content (excluding your data), remain the exclusive property of OSP Consulting Inc and its licensors.
15. Suspension and Termination
You may cancel your subscription at any time via paddle.net or from within the Service. We may suspend or terminate your account for material breach of these Terms, non-payment, suspected fraud or security risk, or where required by law. On termination you may export your data for thirty (30) days, after which it may be permanently deleted.
16. Disclaimers
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.
17. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability under these Terms shall not exceed the amount you paid to OSP Consulting Inc in the twelve (12) months preceding the event giving rise to liability. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
18. Indemnity
You agree to indemnify and hold OSP Consulting Inc harmless from any claim arising out of (a) your breach of these Terms, (b) misuse of the Service, or (c) violation of any law or third-party right.
19. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least fourteen (14) days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
20. Governing Law
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict of laws principles. The parties submit to the non-exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg. Nothing in this clause prevents a consumer from relying on mandatory protections available in their country of residence, including under the Consumer Protection Act 68 of 2008 ("CPA") where it applies.
21. AI-Specific Terms
BudgetIQ uses artificial intelligence models to extract, categorise, forecast and generate insights from the data you provide. In addition to Section 12, the following applies:Acceptable use. You may not use the AI features to (a) generate unlawful, defamatory, harassing, hateful, deceptive or fraudulent content; (b) attempt to extract training data, model weights, system prompts, or bypass safety controls ("jailbreaking"); (c) upload malware or content designed to disrupt the models or their providers; (d) impersonate another person or misrepresent BudgetIQ output as human-generated professional advice.Your responsibility for inputs and outputs. You represent that you have all necessary rights to upload the statements, receipts, and documents you submit. You are solely responsible for how you use, share or act upon AI outputs, including verifying their accuracy before relying on them for tax, accounting, investment or legal purposes.IP in inputs and outputs. As between you and OSP Consulting Inc, you retain ownership of your inputs and of the categorisations, budgets, notes and reports generated for your account. OSP Consulting Inc retains ownership of the underlying models, prompts, evaluation data and aggregated non-identifying signals used to improve the Service. If you believe AI output infringes your intellectual property, contact legal@budgetiq.app with a takedown request; repeat infringers may be suspended.Moderation and refusal. We may filter, refuse, restrict or remove AI inputs or outputs, and suspend accounts, where we reasonably believe this Section has been breached or where a third-party AI provider requires it.Accuracy disclosure. AI outputs may be incomplete, out of date, or wrong. They are informational only and are not a substitute for advice from a registered financial services provider, tax practitioner, accountant or attorney.
22. South African Consumers & POPIA
Where you are a "consumer" and BudgetIQ is a "service" as defined in the CPA, nothing in these Terms is intended to limit or exclude any right you have under the CPA that cannot lawfully be excluded. Where the Electronic Communications and Transactions Act 25 of 2002 grants you a cooling-off right for electronic transactions, that right applies in addition to our Refund Policy. Processing of your personal information is governed by the Protection of Personal Information Act 4 of 2013 ("POPIA") and by our Privacy Policy, which sets out our lawful basis, your rights of access, correction, objection and deletion, and how to contact our Information Officer or lodge a complaint with the Information Regulator (South Africa).
23. Data Export, Account Deletion & Retention
You may export your data at any time from within the Service (Account Settings → Export) as CSV and JSON files covering your transactions, budgets, categories, goals and account metadata. To close your account, use Account Settings → Delete Account, or email privacy@budgetiq.app. Deletion works as follows:Grace period. After you request deletion your account enters a thirty (30) day grace period during which sign-in is disabled but the request can be cancelled by contacting support. During this window you can still request a final export.Permanent deletion. After the grace period, your profile, transactions, budgets, uploaded statements and receipts, AI-generated insights and derived analytics are permanently deleted from production systems within a further seven (7) days, and purged from encrypted backups within ninety (90) days as backups roll over.What we retain. We retain the minimum records required by law (for example tax invoices, subscription and payment records held by Paddle as Merchant of Record, and records needed to defend legal claims), together with aggregated, de-identified analytics that cannot reasonably be linked back to you.On termination by us. If we terminate your account under Section 15 for reasons other than fraud or serious abuse, you will have thirty (30) days from the notice of termination to export your data before deletion begins on the schedule above.
